Please read these Terms of Service carefully before accessing or using XBU Digital Products and Services. By accessing or using any part of the Digital Products or Services, you agree to be bound by these Terms of Service.

1. GENERAL RULES AND DEFINITIONS

1.1 This Terms of Use governs your use and access of all Digital Products and Services from XBU. Examples of such, digital products and services including but not limited to website, web experience, digital experience, metaverse experiences, web applications, print materials, digital content, social media content. These Digital Products and Services are provided either directly by XBU or through various third-party platforms and devices (e.g., mobile and tablet).

1.2 We may change, add or remove portions of these Terms of Service at any time without any further notification. Such changes shall become effective immediately upon posting. It is your responsibility to review these Terms of Service prior to each use of the Site.

1.3 By continuing to access, use this site or any services and digital products on this site you confirm your acceptance of the TOS. If any future changes, are unacceptable to you, you may discontinue your use of the services or digital products. Your continued use of the services now, or following the posting of updated terms of service, will indicate acceptance by you of such terms of service, changes, or modifications.

1.4 We may change, suspend or discontinue any aspect of the Services or Digital Products at any time, including the availability of any services and digital products feature, database, or content. We may also impose limits on certain features or restrict your access to parts or all of the Services or Digital Products without notice or liability.

2. INTELLECTUAL PROPERTY

2.1 The information on the Digital Products and Services, are intended for your personal, noncommercial use. All materials and information published or available on the Digital Products and Services (including, but not limited to text, photographs, images, illustrations, motion graphics, designs, audio clips, video clips, “look and feel,” metadata, data, or compilations) are protected by copyright, and owned or controlled by XBU or the party credited as the provider of the Content. The XBU also owns copyright in the selection, coordination, compilation, and enhancement of such information and content. You shall abide by all additional copyright notices, information, or restrictions contained in any Content accessed through the Digital Products and Service.

2.2 The Services and Digital Products are protected by copyrights, trade secrets, database rights, and other intellectual or proprietary rights therein pursuant to international laws. You may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create new works from, distribute, perform, display (including framing and inline linking), communicate to the public or in any way exploit, any of the Digital Products or the Services in whole or in part.

2.3 You may access the Digital Product and Services Content for your personal use only, provided that you maintain all copyright and other notices contained therein. Copying or storing of any Content it is expressly prohibited without prior written permission from XBU.

3. RESTRICTION ON USE

3.1 You may not access or use, or attempt to access or use, Digital Products or Services to take any action that could harm us or a third party. You may not use Digital Products or Services in violation of applicable laws or in violation of our or any third party’s intellectual property or other proprietary or legal rights. You further agree that you shall not attempt (or encourage or support anyone else's attempt) to circumvent, reverse engineer, decrypt, or otherwise alter or interfere with the Services, or any content thereof, or make any unauthorized use thereof. Without XBU’s prior written consent, you shall not:

(i) access any part of the Services, Content, data or information you do not have permission or authorization to access or for which XBU has revoked your access;

(ii) use robots, spiders, scripts, service, software or any manual or automatic device, tool, or process designed to data mine or scrape the Content, data or information from the Services, or otherwise access or collect the Content, data or information from the Services using automated means;

(iii) use services, software or any manual or automatic device, tool, or process designed to circumvent any restriction, condition, or technological measure that controls access to the Services in any way, including overriding any security feature or bypassing or circumventing any access controls or use limits of the Services;

(iv) archive the Content (except for a public search engine’s use of spiders for creating search indices);

(v) take action that imposes an unreasonable or disproportionately large load on our network or infrastructure; and

(vi) do anything that could disable, damage or change the functioning or appearance of the Services, including the presentation of advertising.

3.2 Engaging in a prohibited use of the Digital Products or Services may result in civil, criminal, and/or administrative penalties, fines, or sanctions against the user and those assisting the user.

4. License.

4.1 You acquire absolutely no rights or licenses in or to the Service and Digital Products and materials and information contained within it other than the limited right to utilize the Service in accordance with the TOS. Should you choose to access the Digital Products and Services, you must do so in accordance with the TOS. Such access is licensed to you by XBU ONLY for your own personal, noncommercial use in accordance with the TOS and does not transfer any other rights to you.

4.2 XBU does not allow it to accept or consider creative ideas, suggestions, or materials other than those it has specifically requested (see below). Accordingly, we ask that you do not send us any original creative materials that you expect to be compensated for or that you would like to keep private. If you nevertheless choose to make any such submission, XBU may freely use the submission, in whole or in part, for any purpose without any obligation to you.

(i) Without limiting the generality of the foregoing, if you submit material (i.e., user-generated content, including, but not limited to: comments, text, video, audio, and photographs) to XBU or its representative, or if you send us creative suggestions, ideas, notes, concepts, or any other information (each, a “Submission” and collectively, the “Submissions”), despite our request that you not send us any unsolicited Submissions or other creative materials, the Submission will be treated as non-confidential and non-proprietary in each instance.

(ii) None of the Submissions shall be subject to any obligation of confidence on the part of XBU, and XBU shall not be liable for any use or disclosure of any Submissions. Unless XBU indicates otherwise, you grant to XBU a perpetual, nonexclusive, irrevocable, fully paid, royalty-free, sublicensable and transferable (in whole or in part) worldwide right and license in any and all media, now known or later developed, to use, publish, reproduce, display, modify, transmit digitally, create derivative works based upon, distribute, copy, and otherwise exploit Submissions for any purpose whatsoever (including, without limitation, advertising, commercial, promotional and publicity purposes) in XBU’s discretion without additional notice, attribution or consideration to you or to any other person or entity. You also permit any other user to access, store, or reproduce Submissions for that user’s personal use. You grant XBU the right to use the name that you submit in connection with Submissions. You agree and understand that XBU is not obligated to use any Submission you make to XBU you have no right to compel such use. You represent and warrant that you are the original author or creator of the Submissions (except as expressly indicated otherwise), that neither the permission nor consent of any other person or entity is required to enable XBU to legally use your Submission in accordance with this license and that XBU’s use of your Submission in accordance with this license will not violate or infringe upon the rights of any person or entity, and that you own or otherwise control all of the rights to the Submissions that you submit; that the Submissions you submit are truthful and accurate; that use of the Submissions you supply does not violate this TOS and will not cause injury to any person or entity; and that you will indemnify XBU and its Suppliers, agents, directors, officers, employees, representatives, successors, and assigns for all claims resulting from Submissions you supply. You hereby irrevocably waive, release and give up any claim that any use of such Submission violates any of your rights, including, without limitation, copyrights, trademarks, moral rights, privacy rights, proprietary or other property rights, publicity rights, or right to credit for the material or ideas, and forever release and discharge.

5. Disclaimer and Limitation of Liability.

5.1 You agree that your use of the Services and Digital products is at your sole risk and acknowledge that the service, digital products and anything contained within the services or digital products, including, but not limited to, materials, information, content, services, goods, or advertisements are provided “as is” and “as available,” and that XBU makes no warranty of any kind, express or implied, as to the service, including, but not limited to, merchantability, non-infringement, title, or fitness for a particular purpose or use or those arising by statute or otherwise in law from a course of dealing or usage of trade.

5.2 XBU does not warrant that the availability of or the functions contained in this site or the service will be uninterrupted or error-free, that defects will be corrected, or that this site or the server that makes it available are free of viruses or other harmful components or that this site, the service or server do not violate any patent or other intellectual property rights of any person or entity. XBU does not warrant or make any representations regarding the use or the results of the use of this site or the service in terms of their correctness, accuracy, reliability, or otherwise. You (and not xbu) assume the entire cost of all necessary servicing, repair, or correction. Applicable law may not allow the exclusion of implied warranties, so the above exclusion may not fully apply to you.

5.3 XBU does not warrant that the Service is compatible with your equipment or that the Service, or e-mail sent by XBU or its representative, is free of errors or viruses, worms or “Trojan horses,” or any other harmful, invasive, or corrupted files, and is not liable for any damage you may suffer as a result of such destructive features.

5.4 You agree that XBU and its partners, affiliates, agents, directors, officers, employees, representatives, successors, and assigns shall have no responsibility or liability for: (i) any injury or damages, whether caused by the negligence of XBU or its representatives or otherwise arising in connection with the Services and Digital Products and shall not be liable for any lost profits, losses, punitive, incidental or consequential damages, or any claim against XBU by any other party; or (ii) any fault, inaccuracy, omission, delay, or any other failure in the Service caused by your computer equipment or arising from your use of the Service on such equipment.

5.5 The content of other Web sites, information, services, goods, or advertisements (“Third Party Sites”) that may be linked to the Services or Digital Products is not maintained or controlled by XBU. Our provision of links to Third Party Sites is not an endorsement of any information, product or service that is offered on or reached through such Third Party Site, XBU is not responsible for the availability, content, or accuracy of other Web sites, applications, services, or goods that may be linked to, or advertised on, the Service. XBU does not: (a) make any warranty, express or implied, with respect to the use of the links provided on, or to, the Service; (b) guarantee the accuracy, completeness, usefulness or adequacy of any other Web sites, services, goods, or advertisements that may be linked to the Service or Digital Products; or (c) make any endorsement, express or implied, of any other Web sites, services, goods, or advertisements that may be linked to the Service.

5.6 If you decide to leave this site and access the Third Party Sites, you do so at your own risk and you should be aware that our terms and policies no longer govern. XBU is also not responsible for the reliability or continued availability of the telephone lines, wireless services, communications media, and equipment you use to access the Services and Digital Products. You understand that XBU and/or third-party contributors to the Service may choose at any time to inhibit or prohibit their content from being accessed under the TOS.

5.7 Accordingly, anything to the contrary herein set forth notwithstanding, XBU, its Suppliers, agents, employees, representatives, successors, and assigns shall not, directly or indirectly, be liable, in any way, to you or any other person for any: (a) inaccuracies or errors in or omissions from the Service and Digital Prodcuts including, but not limited to, information, quotes and data; (b) delays, errors, or interruptions in the transmission or delivery of the Service; or (c) loss or damage arising therefrom or occasioned thereby, or by any reason of nonperformance.

5.8 Under no circumstances, including but not limited to negligence, shall xbu, or its representatives be liable to you or any third person for damages of any kind, whether based in tort, contract, strict liability or otherwise, including, without limitation, any direct, indirect, incidental, consequential, special, punitive, or exemplary damages by accessing this site, you understand that you may be waiving rights with respect to claims that are at this time unknown or unsuspected, and in accordance with such waiver, you acknowledge that you have read and understand.

6. REGISTRATION AND ACCOUNTS

6.1 As part of the registration or account creation process, you will be requested to provide certain registration information, which must be accurate and updated. If applicable, you will be selecting the option to link another account, such as your Apple, Facebook or Google accounts.

6.2 Each registration is for a single user only and You are not allowed to share your registration login credentials or give your login credentials to anyone else. We may cancel or suspend your access to the Services or Digital Products if you share your login credentials. You are responsible for maintaining the confidentiality of your password, which you will not have to reveal to anyone, including to representative or agent of XBU.

6.3 You may not (i) select or use the login credentials of another person with the intent to impersonate that person; (ii) use login credentials in which another person has rights without such person's authorization; or (iii) use login credentials that we, in our sole discretion, deem offensive. Failure to comply with the foregoing shall constitute a breach of these Terms of Use, which may result in immediate suspense or termination of your account.

6.4 You consent to receive notifications from us electronically to the e-mail address you provide to us. You agree that all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You agree that you have the ability to store such electronic communications such that they remain accessible to you in an unchanged form.

6.5 Please notify help@xbookuniverse.com of any known or suspected unauthorized use(s) of your account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password or credit card information.

6.6 You must be 18 years or older to use any part of the Services or Digital Products. If you are less than 18 years of age and would like to use, subscribe or register to any part of the Services or Digital Products, please ask your parent or legal guardian to review and agree to these Terms of Use before you use any part of the Services or ask them to complete the purchase and/or registration on your behalf.

6.4 You are responsible for all usage or activity on your account with XBU, including use of the account by any third party authorized by you to use your login credentials. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your account, at our sole discretion, and we may refer you to appropriate law-enforcement agencies.

6.5 If your access to any Digital Products or Services has been provided by or through a third party (for example, your employer or an educational institution at which you are a student) (each, a “Client”), the Client may have provided us with information about you to enable us to provide you with access to the Services and distinguish you from other subscribers (such as your email address or name). 

7. FEES AND PAYMENTS

7.1. We reserve the right at any time to charge fees for access to portions of the Digital Products, Services or as a whole. In no event, however, will you be charged for access to the Digital Products or Services unless we obtain your prior agreement to pay such charges. Thus, if at any time we require a fee for portions of the Services or Digital Products that are now free, we will give you advance notice of such fees. You may cancel your account at any time. All new fees, if any, will be posted prominently on the Site and in other appropriate locations on the Service or Digital Product. You shall pay all fees and charges incurred through your account at the rates in effect for the billing period in which such fees and charges are incurred, including, but not limited to charges for any digital products or services offered for sale by us or by any other vendor, affiliate or service provider. All fees and charges shall be billed to and paid for by you. You shall pay all applicable taxes relating to use of the Services or Digital Products through your account.

8. TERMINATION; SURVIVAL

8.1 You may terminate your account at any time by reaching out at hello@xbookuniverse.com

8.2 XBU may, in its sole discretion, terminate or suspend your access to all or part of the Services for any reason, including, without limitation, breach or assignment of these Terms of Use.

8.3 XBU shall not be liable to you or any third party for the termination or suspension of the Service, or any claims related to the termination or suspension of the Service.

8.4 Upon termination of the TOS by you or XBU, you must discontinue your use of the Services and Digital Products and destroy promptly all materials obtained from the Service and any copies thereof.

8.5 The provisions of these Terms of Use shall survive the termination of your account or access to all or part of the Services. 

9. MISCELLANEOUS

9.1 You accept that BLP has the right to change the content or technical specifications of any aspect of the Service at any time in BLP’s sole discretion.

9.2 Nothing in these Terms of Service will serve to preempt the promises made in our Privacy Policy and Terms of Sale.

9.4 You agree to report any violations of the Terms of Use to XBU as soon as you become aware of them. In the event you have a claim of copyright infringement with respect to material that is contained in a Service, please notify copyrights@xbookuniverse.com. 9.5 Our failure to enforce any provision of these Terms of Use or to respond to a breach by you or other parties shall not in any way constitute a waiver of our right to enforce subsequently any terms or conditions of these Terms of Use or to act with respect to similar breaches.

9.6 If you believe that your work has been copied in a way that constitutes copyright infringement, please provide us the following information in writing to XBU's Copyright channel. Please be advised that to be effective, the Notice must include ALL of the following:

• a physical or electronic signature of the person authorized to act on behalf of the owner of an exclusive copyright that is allegedly infringed;
• a description of the copyrighted work that you claim has been infringed;
• a description of where the material that you claim is infringing is located on the Site
• your address, telephone number, and email address and all other information reasonably sufficient to permit us to contact you;
• a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

10. SPECIAL TERMS: BETA TESTING & ACCESS

10.1 XBU may invite you to review and evaluate software, applications, downloads materials, digital experiences, web experiences, virtual experiences or other features prior to their public or commercial release (hereafter “Beta Test & Access Services” or “Beta Test & Access Digital Products”). If you choose to participate in Beta Test & Access Services, you agree to be bound by these Special Terms and to provide XBU with certain feedback and suggestions regarding your experiences while reviewing and evaluating the Beta Test Services (“Feedback”). XBU may ask you to enter into a confidentiality agreement for each specific Beta Test Service. If so, your participation as a tester (“Tester”) is subject to that confidentiality agreement, in addition to the following terms and conditions which apply to all Beta Test Services & Access.

10.2 You further agree that the Beta Test & Access Services, Digital Products and any materials therein, including content (collectively, “Pre-Release Materials”), are confidential or proprietary information of XBU. You agree as a condition of participating in Beta Test Services to: (i) not copy or reproduce the Pre-Release Materials, (ii) safeguard the Pre-Release Materials and prevent unauthorized access to, reproduction of, disclosure of and/or unauthorized use of, the Pre-Release Materials, and (iii) if applicable, fully comply with the terms and conditions of the confidentiality agreement.

10.3 You agree that breach of the above obligations will cause irreparable harm to XBU, and XBU is entitled to (in addition to any other remedies available to it) injunctive or other equitable relief to prevent the breach or threatened breach of your obligations. Your obligation to keep the Pre-Release Materials confidential will continue until XBU publicly distributes or has otherwise disclosed to the public through no fault of yours, the Pre-Release Materials that you are testing.

10.4 Upon removing your participation from Beta Test & Access you agree to immediately delete all copies of the Pre-Release Material which XBU provided to you.

10.5 By using the Beta Test & Access Services and Digital Products, you agree that: (iv) participating in Beta Test & Access for Services and Digital Products is at your own risk and you know that the Beta Test & Access may include known or unknown bugs, (v) any status indicators or preferences saved within Beta Test & Access may be erased at any time, (vi) XBU has no obligation to make these Beta Test & Access available with or without charge for any period of time, nor to make them available at all, (vii) these Terms also apply to your use of the Beta Test & Access, (viii) if requested, you will keep all information about the Beta Test & Access confidential as stated above, (ix) any Feedback you provide will become the property of XBU without any right to compensation or other obligation from XBU, (x) XBU may (or may not) use or otherwise exploit all or part of your Feedback or any derivative thereof in any manner or media now known without any further remuneration, compensation or credit to you, (xi) your participation to the Beta Test Services is on a purely voluntary basis and in consideration of the opportunity to assist XBU with the Beta Test Services, and (xii) nothing in these Special Terms or your participation in the Beta Test Services creates any employment relationship between you and XBU.

In case of conflict between these Special Terms and the rest of the Terms, these Special Terms shall prevail.

TERMS OF USE
